Terms of Service

The Moonshot Deal Room (the “Deal Room”) is operated by TechCabal as part of Moonshot by TechCabal. It helps African founders and investors find each other, talk and meet, before, during and after the Moonshot event.

By creating an account or using the Deal Room you agree to these terms and to our Privacy Policy. If you are using the Deal Room for a company or fund, you confirm you are allowed to accept these terms on its behalf.

The Deal Room is for founders of operating startups and for professional, angel and institutional investors. You must be at least 18. Access is by application: we review every account and may decline, limit or remove access at our discretion, including where information cannot be verified.

Some features open in stages. Discover, AI Matches and profiles unlock once your profile is at least 80% complete. Connecting, messaging, meetings and the investor pipeline unlock once the Moonshot team approves your application.

Keep your sign-in details secure and do not share your account. You are responsible for activity under your account. Tell us straight away if you think someone else has accessed it. One login represents one person; co-founders and colleagues are listed as team members on a profile.

Everything you submit (company details, traction and fundraising figures, investment mandate, identity and incorporation documents) must be true, current and yours to share. Do not impersonate anyone or misrepresent your company, fund or authority.

We check applications using the documents you upload, automated eligibility and duplicate checks, pitch-deck screening and, where used, identity-verification providers. Verification badges mean we reviewed the evidence provided at that time. They are not an endorsement and do not guarantee a company or investor.

Pitch decks, financials, cap tables, data-room documents and private messages you receive through the Deal Room are confidential. Use them only to evaluate a potential investment or partnership, share them only with people in your organisation who need them for that purpose and who are bound by similar confidentiality, and do not copy, publish or sell them. This obligation continues after you leave the Deal Room.

You must not:

• send spam, unsolicited bulk messages or connection requests unrelated to investment;
• harass, threaten or discriminate against other members;
• scrape, export or harvest member data, or access the Deal Room by automated means;
• upload malware or content you do not have the right to share;
• circumvent access gates, rate limits or security controls; or
• use the Deal Room for unlawful activity, including fraud or unregistered securities offerings.

We may limit messages, connection requests and uploads to protect members.

Online meetings are hosted through Zoom and are subject to Zoom’s terms. Please join on time, cancel through the Deal Room if you cannot attend, and behave professionally. In-person meetings at Moonshot are subject to the event’s own terms and code of conduct. Online meetings are recorded on Zoom so that both participants can download a written transcript afterwards; this is shown when you book and Zoom announces the recording when the meeting starts. In-person meetings are not recorded.

TechCabal is not a broker-dealer, investment adviser, fund manager or crowdfunding portal, and does not take part in, recommend or receive compensation from any transaction between members. Match scores and verification are tools to help you prioritise, not recommendations. Do your own due diligence and take independent legal, tax and financial advice. Any investment is solely between the parties involved and at their own risk.

You keep ownership of what you upload. You give TechCabal a limited licence to host, process and display it within the Deal Room to provide the service, to members you choose to share it with and, if you opt in, on the public startup list. The Deal Room, the Moonshot brand and our software remain ours; do not use them without permission.

You can delete your account at any time from Settings. We may suspend or close accounts that break these terms, provide false information, or put other members at risk, and we may reject or withdraw an application. Confidentiality, disclaimers and liability limits continue to apply after closure.

The Deal Room is provided “as is”. We work to keep it available and secure but do not guarantee uninterrupted service or that member information is accurate. To the extent the law allows, TechCabal is not liable for indirect or consequential losses, lost profits or investment losses, or for the conduct of other members. Nothing in these terms limits liability that cannot legally be limited.

We may update these terms as the Deal Room changes; we will tell you about material changes by email or in the app before they take effect. Continuing to use the Deal Room after that means you accept the updated terms. Questions? Please contact the Moonshot team through moonshot.techcabal.com.
